General Information and Scope of Applicability

The contractual relationships between OnPro HandelsgmbH (hereinafter “OnPro”) and you as a customer are regulated by the following General Webshop Terms and Conditions (GTC): all deliveries and services of OnPro are performed exclusively based on these GTC, in the version valid at the time of the order.

Offer and Conclusion of Contract

The presentation of the articles in the Webshop of OnPro is subject to change without notice and non-binding, in particular with regard to dimensions, weights, technical data and representations and illustrations on the website of OnPro. These are only used as a description or approximate representation. The presentation of the articles in the webshop is meant to prompt you to make an offer to OnPro using an order.

When submitting your order, you are making a binding contractual offer to OnPro. After submitting an offer at OnPro, you will receive an automatically generated e-mail that confirms receipt of your order. This confirmation is still not an acceptance of the offer by OnPro. You are bound by your offer for 6 working days. Your order will be accepted by the transmission of the relevant order confirmation or implied through delivery of the article.

The order process in detail – this is how the contract between you and OnPro is created:

  1. Place your desired article in the shopping cart.
  2. After clicking the “To the shopping cart” button, you will proceed to the next step of your order: Enter your information. Here you can register as a new customer or log in to your existing customer account.
  3. In the next ordering step, select your payment type. Then please enter your delivery and billing addresses, if they are not already saved. You can change this information at any time. By clicking the button “save and continue” you proceed to the next ordering step
  4. In the next step, enter your contact information, if not already saved. You can change your contact information at any time.
  5. Review the order entered to make sure the articles and information are correct. By clicking the button “I have read, understood and accepted the GTC” you proceed to the conclusion of the order process.
  6. By clicking the button “Place order with obligation to pay” you send your order to OnPro.

An order confirmation will appear on your screen as soon as the order is complete and your order is sent to OnPro. You can print it out or save it. Your order data are saved by OnPro.

You will immediately receive an e-mail with the confirmation of receipt of your order by OnPro.

This order confirmation contains all of the details of your order as well as the GTC of OnPro. You can print out this document or save it.

Your right of withdrawal pursuant to 11 of the Austrian Distance Selling Act

You have the right to revoke the contract you have made with OnPro using the Webshop within 14 days without giving a reason. The revocation deadline of 14 days begins on the day you or a third party representing you who is not the carrier receives the delivered article. In the case of a contract involving multiple articles which were ordered in a detailed order and are delivered separately, from the day on which you or a third party representing you who is not the carrier receive the last article on the order. It is enough to send a revocation declaration within the deadline.

The revocation declaration must contain the following information: Your name, your exact address, name of the ordered article, order date and the clear declaration of your decision to withdraw from the contract with OnPro.

The revocation declaration may also be made using the OnPro revocation form, which can be found in the menu under [please indicate the relevant menu point here, preferably on the home page, prominently, next to the GTC and the data protection declaration or integrate the download option into the GTC].

You must return the articles to OnPro immediately, or at the latest within 14 days from the day you declared your withdrawal, at your own costs, complete, with the original packaging to [please enter a goods return address here].

You are responsible for any loss of value if this loss of value if a test of composition, properties and function of can trace the cause back to unnecessary and careless handling of the articles, or if the articles were damaged due to inadequate, inappropriate packaging on the shipping route back to OnPro.

OnPro will use delivery of the returned articles versus payment made by you, including the original delivery costs (with the exception of additional costs arising from you using a delivery type different from the standard delivery offered by OnPro) to refund to you the remaining money. For the refund, OnPro will use the same means of payment that you selected for the original transaction, unless otherwise arranged with you.

Prices and Payment

All prices are given in EUR, incl. packaging, legal value added tax and all other fees. The bill will be sent to you electronically.

Payment can be made by credit card, immediate transfer, giropay or paypal. You can find more details about the individual payment types in the information Online Payments on the Webshop home page in the footer

The debiting of your credit card account, payment via PayPal or the selected transfer from your bank account will be done when the order is placed. The fulfillment location for all payment obligations is the headquarters of OnPro in Ried.

Deliveries will only be made once payment has been received.

Delivery conditions and deadlines

The type of shipping and packaging are selected by OnPro. If not indicated otherwise during the order in the shopping cart, shipping of the goods will occur within 3 to 5 days after payment is received.

OnPro is authorized to exceed the agreed upon delivery deadlines by up to 2 weeks. Only after this deadline has passed are you entitled to withdraw from the contract after setting a reasonable subsequent deadline of on additional week. You will be immediately informed by e-mail of any extension of delivery deadlines or non-availability of the article!

Delivery

The delivery or pick-up of the article is done by a transport company selected and contracted by OnPro. OnPro is authorized to make partial deliveries. Negligible deviations in the articles and those which occur based on legal requirements or which are technical improvements are permitted, if they do not affect the intended use of the product.

If events due to forces majeures or unpredictable events at the time of the conclusion of the contract which cannot be influenced by OnPro significantly hinder the delivery or render it impossible, and if the hindrance persists for a period of more than 4 weeks, OnPro is entitled to withdraw from the contract without being subject to damages. You will be notified of this withdrawal immediately by e-mail.

If the delivery will be delayed by more than 2 weeks for reasons that OnPro cannot influence, you may withdraw from the contract by immediate written declaration to OnPro.

Transport Damage

You must check the delivery immediately upon receipt and document and photograph any external visible transport damage when receiving the article from the transport company. You must report this damage immediately, and at the latest within 2 days, by e-mail in order to enable us to lodge a compensation claim with the transport company. Any transport damage not externally visible must be reported upon discovery, at the latest within 2 days, photographed and sent by e-mail to OnPro (attaching the photos).

The article damaged during transport will be picked up at your location at OnPro’s cost. You must package the goods in the original packaging secure for transport and have it ready for pick up in order to enable the fastest possible pick up.

Warranty

If defective articles are delivered to you by OnPro, you are entitled to lodge a warranty claim within the framework of the legal warranty provisions. The warranty period begins when you receive the article.

The delivered articles are to be examined carefully after receipt by you or by a third party representing you. The claim for obvious or other defects which are discovered in an immediate and careful examination is to be made within 5 days of delivery, otherwise immediately after the defect is discovered. If the claim is justified, OnPro will compensate you for the costs of the least expensive manner of shipping. If the claim is rejected, OnPro is entitled to charge the normal compensation for the testing of the article.

A remediation of the defect is considered failed after the second unsuccessful attempt. Any warranty claim related to the delivered article is rejected in the case that, i) the instructions for use or operating instructions were not followed (such as connecting foreign charging or networking devices, voltage and power strength instructions not followed, etc.), ii) that the article has been exposed to damaging external influences such as moisture, excessive heat or cold, magnetic fields, corrosive chemicals etc., iii) that improper changes have been made to the articles or if personal interventions have been made (such as opening the eardots and/or the charging box), and iv) in the case of improper use or intentional damage.

Liability

All damage claims from the customer are excluded in cases of slight negligence. This does not apply to personal damage. The liability exclusions and limitations are to be set up and be effective to the limits permitted under legislation. The customer is obligated to limit damage. This includes timely reporting of damage within the framework of minimizing further damage.

Withdrawal

OnPro is entitled to withdraw from the contract in whole or in part without paying any damages: i) if there customer refuses delivery within a reasonable period of time, or ii) if there are technical or other hindrances which unreasonably impede fulfillment of the contract by OnPro or make it impossible, and iii) if there is an event resulting from forces majeures.

Forces Majeures

Events caused by forces majeures, in terms of this GTC, are all unpredictable and unavoidable events such as labor disputes, revolts, acts of terrorism, mobilizations, abolishment of Schengen Treaty, embargoes, general lack of supplies or means of transport, limitations of energy consumption, lack of currency, etc.

Applicability

These GTC also apply if individual provisions become invalid, void or unenforceable. The invalid, void or unenforceable provision will be replaced with a valid, effective and enforceable provision that most closely meets the intention of the first.

Applicable law and court of jurisdiction

The legal relationship between the customer and OnPro are subject exclusively to Austrian material law under the exception of the law rules and the provisions of UN Convention on Contracts for the International Sale of Goods insofar as no compelling legal provisions of the state where the customer is a resident or has their main residence limits these.

The contractual languages are German and English

The place of fulfillment is Ried. The exclusive court of jurisdiction for all disputes arising from the contractual relationship between OnPro and the customer is Ried.

Data protection

You provide your consent that all of the personal information you provide in your order in fulfillment of the contact will be collected, saved, processed and transferred by OnPro.

You consent to receive messages pursuant to §107 TKG (Telecommunications Act) for advertising purposes from OnPro or from companies contracted to do so by OnPro. You can revoke this consent at any time at hello@eardot.shop.

Delivery of Statements

All legally binding statements based on this concluded contract will be delivered to the customer address/e-mail address last provided in writing or by e-mail. In that case they will be considered as delivered to the customer. The customer is obligated to notify OnPro immediately of any changes to their domicile or business address and e-mail address, as long as the contract has not been fulfilled completely or as long as the business relationship lasts.
